Terms of Service

Our Legal Philosophy

At First Principled, we believe legal documents should be understandable.

These Terms exist to clearly explain the relationship between you and First Principled. They describe what you can expect from us, what we expect from you, and how we work together while using our Services.

We've intentionally written these Terms using the same philosophy that guides everything we build: clarity over complexity, transparency over confusion, first principles over unnecessary legal jargon.

While these Terms create a legally binding agreement, they are also intended to be read and understood by the people who use our products every day.

1. About First Principled

Welcome to First Principled (“First Principled,” “FPL,” “we,” “our,” or “us”), operated by First Principled Life LLC, an Iowa limited liability company based in Johnston, Iowa.

These Terms govern your access to and use of our website, web application, progressive web app, future mobile applications, software, AI features, digital products, subscriptions, reports, content, and related services (collectively, the “Services”), including:

By creating an account, accessing, or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

In Plain English: This is our full legal agreement. If you're using First Principled in any way — free or paid — these Terms apply to you.

2. Who These Terms Apply To

These Terms apply to every visitor, user, subscriber, purchaser, customer, and account holder who accesses any part of the Services. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

3. Eligibility

To use the Services, you must be at least 18 years of age, have the legal capacity to enter a binding agreement, comply with all applicable laws in your jurisdiction, and use the Services only for lawful purposes. The Services are intended for adults and are not directed toward children under 18.

4. Account Registration and Security

Creating an Account

Certain features require an account. You agree to provide accurate, complete, and current information, to keep it updated, and not to impersonate another person or use false information.

Authentication

First Principled uses Clerk as its authentication provider. Your passwords are never stored by First Principled Life LLC. Authentication credentials — including password creation, storage, hashing, resets, and verification — are securely managed by Clerk under its own security practices. First Principled stores only the information necessary to identify your account within our platform, such as your authentication reference ID.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you believe your account has been accessed without authorization, notify us immediately at support@firstprincipledlife.com.

One Account Per Person

Unless expressly authorized by First Principled, each individual may maintain only one personal account. Accounts may not be shared, transferred, sold, rented, or made available to another person. Business or enterprise accounts, if offered in the future, may be governed by separate agreements.

Suspension or Termination

We may suspend, restrict, or terminate access if we reasonably believe these Terms have been violated, fraudulent or unlawful activity has occurred, platform security or integrity is at risk, continued access could harm First Principled or others, or we are required to act by law. Where practical, we'll attempt to notify you first. Termination does not eliminate payment obligations that arose before termination.

5. Products and Services

First Principled provides educational content, software tools, AI features, and digital resources related to business, income generation, productivity, and personal development, currently including the First Principled Audit, Blueprint, Radix AI, Builder, Operator, Architect, Path Packs, Digital Books, Business Acquisition Reports, and related educational content. We may add, remove, modify, or discontinue features or Services at any time without prior notice.

6. Artificial Intelligence Features

In Plain English: Radix is a tool to help you think, not a professional advisor. Treat its output the way you'd treat a smart first draft — useful, but yours to verify before you act on it.

Certain Services use artificial intelligence, including Radix AI, to assist with organizing information, generating ideas, identifying patterns, and providing educational recommendations. AI responses may contain errors or inaccuracies, should not be relied upon as professional legal, tax, accounting, investment, medical, or financial advice, and are intended to support — not replace — your own judgment. You remain solely responsible for evaluating and acting on any AI-generated recommendation. Section 16 below (Educational Purpose; No Professional Advice; AI Limitations) governs AI use in detail and controls over this summary. Sections 7 through 9 below explain how Radix uses your data, remembers prior conversations, and how long that information is retained.

7. AI Training & Model Usage

In Plain English: Short version: we don't train AI models on your conversations. Your inputs are sent to our AI provider to generate a response, not to teach their models about you. We never sell your data.

Radix AI is powered by third-party large language models, currently provided by Anthropic (see Section 20, Third-Party Services). When you use Radix or another AI-assisted feature, your inputs — including Audit responses, Radix conversations, and other content you provide to the feature — are transmitted to our AI provider's API solely to generate a response for you.

First Principled does not use your submitted content to train its own proprietary AI models. As of the Effective Date, and in accordance with our AI provider's applicable API terms, content submitted through the Services is not used by that provider to train its underlying foundation models, except where required for abuse detection, safety review, or as otherwise disclosed in that provider's own policies. Because third-party AI terms can change, the current version of our AI provider's data-use commitments is available on request and will be reflected in our Responsible AI Policy.

First Principled may use aggregated, de-identified, or anonymized data — data that does not identify you or any individual — for analytics, product improvement, research, and reporting. We do not sell your personal data or your submitted content to third parties. Our Privacy Policy governs the collection, use, and disclosure of personal data in full detail and controls to the extent of any conflict with this summary.

8. AI Memory

In Plain English: Radix can remember things from earlier conversations so it doesn't make you repeat yourself. You can see what it remembers, delete it, or turn the feature off entirely.

Certain AI features, including Radix, may retain information from your prior conversations (“Memory”) — such as goals, preferences, and context you've previously shared — in order to personalize and streamline future interactions.

Memory is treated as part of Your Content under Section 14 (Intellectual Property) and is subject to the same security and access protections as other account content. You may review, edit, or delete stored Memory through your account settings or by contacting support@firstprincipledlife.com, and you may disable Memory entirely, in which case Radix will not retain new conversational context going forward. Disabling Memory does not automatically delete previously stored Memory; you may separately request deletion of existing Memory at any time.

9. Data Retention

In Plain English: We keep your data while your account is active, delete most of it within a set window after you leave, and hang onto a narrow set of records only where law or fraud prevention requires it.

First Principled retains your account information and submitted content for as long as your account remains active, or as needed to provide the Services. If you delete your account, we will delete or de-identify your personal data and submitted content from our active systems within a commercially reasonable period, not to exceed thirty (30) days, except as described below.

Residual copies of deleted data may persist in encrypted backups for a limited period after deletion, generally not to exceed ninety (90) days, before being permanently purged in the ordinary course of our backup rotation.

Notwithstanding the above, First Principled may retain limited records after account deletion where reasonably necessary to comply with legal, tax, or accounting obligations (including payment and billing records, which may be retained for the period required by applicable law), resolve disputes, enforce these Terms, or prevent fraud and abuse. Our full Privacy Policy governs retention of personal data in detail and controls to the extent of any conflict with this summary.

10. Beta Features & Early Access

In Plain English: Anything labeled Beta, Experimental, or Early Access is a work in progress. Expect rough edges, and expect that it might change or disappear.

From time to time, First Principled may make available features, tools, or products labeled “Beta,” “Experimental,” “Preview,” or “Early Access” (collectively, “Beta Features”). Beta Features are provided for evaluation purposes and are made available on an “as is” and “as available” basis, in addition to — not in place of — the disclaimers in Section 18 (Disclaimer of Warranties).

Beta Features may contain bugs, errors, or inconsistent behavior; may be modified, limited, or discontinued at any time without notice or liability; may be available only to a subset of users or by separate opt-in or invitation; and may involve additional data collection or feedback requests to help us evaluate and improve the feature. We may request that you agree to additional terms before accessing a specific Beta Feature; where those terms conflict with these Terms, the additional terms control solely with respect to that Beta Feature.

11. API and Automated Access

In Plain English: We don't offer a public API today, but we're building for one. When it launches, it'll run under its own developer terms.

As of the Effective Date, First Principled does not offer a public application programming interface (API) for automated or programmatic access to the Services. First Principled reserves the right to offer API access, developer tools, or automation features in the future, which will be governed by separate API Terms of Use or a developer agreement incorporated by reference into these Terms upon their publication.

Absent express written authorization or a published API agreement, you may not access the Services through automated means, including bots, scrapers, or scripts, consistent with Section 15 (Acceptable Use). If and when an API is released, access may be subject to authentication credentials, rate limits, usage tiers, and separate fees as described in the applicable developer documentation.

12. Availability

We strive for constant availability but do not guarantee uninterrupted service. The Services may be unavailable due to scheduled maintenance, software updates, security incidents, third-party outages, internet disruptions, or circumstances beyond our reasonable control. We may modify, improve, suspend, or discontinue any feature at any time as the platform evolves.

13. Subscriptions, Billing, and Payments

Free Services

Certain Services may be offered free of charge and may be modified, suspended, or discontinued at any time without notice. Free Services remain subject to these Terms.

Free Trial

Eligible users may receive a seven (7) day free trial of certain plans, including Starter. No fees are charged during the trial. You may cancel before the trial ends to avoid being charged. At the end of the trial, your selected subscription begins automatically and your payment method is charged unless cancelled beforehand. We may modify or discontinue free trials at any time.

Subscription Plans

Current plans include Builder, Operator, and Architect. Included features may change as the platform evolves. Current pricing is posted on our website.

Billing

Paid subscriptions renew automatically unless cancelled before the next billing date. By purchasing, you authorize First Principled and our payment processor, Stripe, to charge your payment method for all applicable fees and taxes. Prices are shown before purchase; applicable taxes vary by location.

Payment Processing

All payments are securely processed by Stripe. First Principled does not receive or store your complete payment card information.

Failed Payments

If a payment fails, we may retry it, ask you to update your payment method, suspend paid features until payment succeeds, or cancel your subscription if payment remains unsuccessful.

Price Changes

We may update pricing over time. If a change affects an active subscription, we'll provide reasonable advance notice; price changes do not apply retroactively.

Cancellation

You may cancel anytime in account settings or by contacting support. Cancellation prevents future renewals but does not immediately end access — unless otherwise required by law or stated in our Refund Policy, you retain access through the end of your current billing period.

Refund Policy Summary

Our complete Refund Policy is incorporated into these Terms by reference. As of the Effective Date:

Monthly Subscriptions: your first monthly payment carries a 30-day satisfaction guarantee — request a full refund within 30 days, no explanation required, processed in 5–10 business days. Payments after the guarantee period are generally non-refundable.

Annual Subscriptions: requests within the first 60 days receive a prorated refund of unused months; requests between days 61–180 receive a 50% refund of the unused portion; after 180 days, payments are generally non-refundable. Regardless of eligibility, cancelled subscriptions remain active through the paid period unless a refund is issued.

Digital Books: non-refundable once downloaded or accessed.

Path Packs: covered by a 30-day satisfaction guarantee.

Business Acquisition Reports: non-refundable once report generation has begun, since work starts immediately and each report is custom-prepared.

Fraud Prevention: we may deny refund requests or suspend accounts where we reasonably believe our refund policies are being abused or exploited in bad faith. Nothing here limits consumer rights that cannot legally be waived.

14. Intellectual Property

Ownership of the Services

The Services — including software, source code, designs, graphics, text, interfaces, workflows, databases, AI prompts, algorithms, branding, trademarks, logos, documentation, and educational materials — are owned by or licensed to First Principled Life LLC and protected by applicable IP law. Except for the limited rights granted here, no ownership rights transfer to you.

Limited License

First Principled grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal or internal business use. You may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, sell, license, reverse engineer, or exploit any part of the Services except where expressly permitted by law or our prior written permission.

Your Content

You retain ownership of information you submit — Audit responses, business ideas, Radix conversations, tool inputs, progress updates, notes, feedback, and other submitted text. You grant First Principled a limited, worldwide, non-exclusive license to host, process, store, transmit, analyze, and display your content solely to operate, improve, secure, maintain, and support the Services. This license ends when your content is permanently deleted, except where retention is required by law or reasonably necessary to resolve disputes, enforce these Terms, or maintain security records.

Feedback

If you provide suggestions, feature requests, or other feedback, First Principled may use it without restriction or compensation. Feedback does not transfer ownership of the Services to you.

Trademarks

“First Principled,” “First Principled Life,” “Radix,” “Blueprint,” “Builder,” “Operator,” “Architect,” and related names, logos, and branding are trademarks or trade dress of First Principled Life LLC or its licensors. Nothing here grants permission to use our trademarks without prior written consent.

Copyright, Trademark & Abuse Reporting

Copyright infringement claims are handled under our DMCA Policy, available separately. If you believe someone is misusing our trademarks, impersonating First Principled, impersonating another user, or using the Services to engage in identity abuse (such as a fake or fraudulent account impersonating a real person or business), you may report it to support@firstprincipledlife.com. We will review reports in good faith and may remove content, suspend accounts, or take other action we deem appropriate, consistent with Section 4 (Suspension or Termination).

15. Acceptable Use

You agree to use the Services responsibly and not to: violate any law or regulation; infringe another's IP rights; engage in fraud, deception, or identity theft; generate spam; distribute malware or harmful code; attempt unauthorized access to accounts, systems, or infrastructure; interfere with security or operation; scrape or systematically extract data; use automated tools to copy substantial portions of the Services; share, resell, or commercially redistribute your account or subscription; circumvent subscription limits or access controls; or reverse engineer or decompile the Services except where prohibited from restricting by applicable law.

Responsible Use of Artificial Intelligence

When using Radix or any AI-powered feature, you additionally agree not to intentionally use the Services to: facilitate illegal activity; generate fraudulent or deceptive content; impersonate another individual; create or distribute malicious software; promote violence or unlawful conduct; knowingly violate another's legal rights; interfere with or manipulate our AI systems; or test, exploit, or intentionally bypass platform safeguards. We may suspend or terminate accounts engaged in abusive or harmful use of AI features.

Service Integrity

We may implement reasonable technical measures — usage limits, rate limits, automated abuse detection, temporary restrictions, and similar safeguards — to protect platform security, prevent abuse, ensure fair use, maintain reliability, protect other users, and comply with applicable law.

Community Features

If First Principled introduces forums, comments, groups, or other community features, use of those features will be governed by separate Community Guidelines, which will be incorporated by reference into these Terms once published.

16. Educational Purpose; No Professional Advice; AI Limitations

In Plain English: We help you think through decisions — we don't replace your lawyer, accountant, financial advisor, or doctor. If a decision needs a license to give advice on, go get that advice from a licensed professional.

The Services are educational and informational. Your use of the Services, including Radix AI, does not create an attorney-client, accountant-client, financial advisor-client, tax preparer-client, physician-patient, real estate broker-client, employment counselor-client, or any other professional advisory relationship between you and First Principled Life LLC, its officers, employees, contractors, or affiliates.

Nothing in the Services should be construed as legal, tax, accounting, financial or investment, employment or labor law, real estate brokerage or investment, or any other professionally licensed advice. Before making any legal, tax, accounting, financial, investment, employment, real estate, medical, or other professionally regulated decision, consult a duly licensed professional in the relevant jurisdiction.

Radix AI and other AI-assisted features use artificial intelligence, including third-party large language models (see Section 20, Third-Party Services), to generate suggestions, summaries, analyses, and recommendations from information you provide and publicly available data. AI-generated output may be incomplete, outdated, inaccurate, generic, or inapplicable to your circumstances, has not been reviewed by a licensed professional unless expressly stated, and is not warranted for accuracy, completeness, timeliness, or suitability. You are solely responsible for independently verifying information before relying on it and for all decisions you make based on the Services.

17. No Guarantee of Results

In Plain English: We give you tools and frameworks, not promises. What you build with them is up to you, your effort, and the market.

First Principled does not guarantee any particular outcome, including business formation, success, or continuation; income, revenue, or profit generation; profitability of any investment, acquisition, or decision; access to funding or capital; employment, promotion, or career advancement; client, customer, or tenant acquisition; time savings or productivity gains; or any specific personal, financial, or health-related outcome. Outcomes depend on factors outside First Principled's control, including your effort and execution, available capital, market conditions, competitive dynamics, applicable law, timing, and individual decision-making. Examples, case studies, testimonials, or projections referenced in the Services are illustrative only and are not a promise of similar results.

18. Disclaimer of Warranties

In Plain English: We work hard to keep things accurate and running smoothly, but legally, we can't promise perfection — the Services come as-is.

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, express, implied, or statutory. First Principled disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement; any warranty that the Services will be uninterrupted, timely, secure, or error-free; any warranty regarding accuracy, reliability, or completeness of content, including AI-generated output; any warranty of compatibility with any device, browser, or operating system; and any warranty regarding future feature availability or continuity of any Service. Some jurisdictions do not allow exclusion of certain implied warranties; in those cases, warranties are limited to the minimum scope and duration permitted by law.

19. Limitation of Liability

In Plain English: If something goes wrong, our financial responsibility is capped — this is standard for software and AI products, and it's part of how we can offer these tools at this price.

To the maximum extent permitted by applicable law, First Principled Life LLC, its officers, members, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity, arising from your use of, or inability to use, the Services — regardless of legal theory, and including damages from software errors or interruptions, AI-generated output, third-party provider outages (including Anthropic, Clerk, and Stripe), data loss, or business decisions made in reliance on the Services.

First Principled's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amount you paid to First Principled in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD). You acknowledge that First Principled has priced the Services in reliance on these limitations, and that they are an essential basis of this agreement.

Some jurisdictions do not allow limitation of liability for certain damages; in those cases, liability is limited to the greatest extent the law permits, and nothing here limits liability that cannot be limited by law (e.g., gross negligence, willful misconduct, or death or personal injury caused by First Principled's negligence, where non-waivable). Users outside the United States retain any non-waivable statutory rights under their home jurisdiction's consumer protection laws.

20. Third-Party Services

In Plain English: We build on top of trusted providers — Anthropic for AI, Clerk for logins, Stripe for payments — and we're not on the hook for their outages, only our own.

The Services rely on third-party providers, including Anthropic (AI models powering Radix AI), Clerk (authentication and credential storage), and Stripe (payment processing), and First Principled may add, remove, or change providers over time. Each provider operates under its own terms and privacy policy. First Principled is not liable for outages, errors, security incidents, policy changes, or discontinuation by any third-party provider, except to the extent liability arises from First Principled's own gross negligence or willful misconduct in selecting or integrating that provider. We will make commercially reasonable efforts to restore functionality after a third-party outage but do not guarantee a specific timeline.

21. User Responsibility

In Plain English: You're in the driver's seat — we give you the map, but you make the decisions, protect your own login, and double-check anything important before you act on it.

You are solely responsible for all business, financial, health, and personal decisions you make, including those informed by the Services; complying with all applicable laws and regulations; maintaining the confidentiality and security of your account credentials; independently verifying material information or recommendations before acting on them; and maintaining your own backups of information you consider important. First Principled is not responsible for losses arising from your failure to verify information, protect your credentials, or maintain adequate backups.

22. Indemnification

In Plain English: If your misuse of the Services causes a legal claim against us, you agree to cover the resulting costs.

You agree to defend, indemnify, and hold harmless First Principled Life LLC, its officers, members, employees, contractors, and affiliates (the “First Principled Parties”) from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your access to or use of the Services; your violation of these Terms; your violation of a third party's IP, privacy, or other legal rights; your use of AI features for any illegal, fraudulent, or unauthorized purpose; content you submit, upload, or generate; or any fraudulent, negligent, or willfully wrongful act or omission by you in connection with the Services. First Principled may, at your expense, assume exclusive defense and control of any indemnifiable matter, and you agree to cooperate with that defense.

23. Governing Law & Dispute Resolution

In Plain English: If a disagreement comes up, we'd rather talk it out first. These Terms are governed by Iowa law, and disputes that can't be resolved informally go through the process below.

These Terms and any related dispute are governed by the laws of the State of Iowa, without regard to conflict-of-laws principles, except where preempted by federal law.

Before initiating a formal dispute, you agree to first contact support@firstprincipledlife.com with a good-faith description of the issue; First Principled will attempt informal resolution within thirty (30) days.

[Attorney decision point] Binding Arbitration: whether to require binding arbitration for disputes not resolved informally, and if so, the administrator (e.g., AAA or JAMS), a single-arbitrator format, location (Polk County, Iowa, or by videoconference), and confirmation that the Federal Arbitration Act governs enforcement.

Small Claims Carve-Out: regardless of any arbitration requirement, either party may bring an individual claim in small claims court in Polk County, Iowa, or the user's county of residence, if the claim qualifies.

[Attorney decision point] Class Action Waiver: to the extent enforceable, disputes would be resolved individually only, with no class, collective, or representative claims; enforceability varies by state and should be finalized by counsel given First Principled's nationwide user base.

Venue: for any dispute not subject to arbitration (or if arbitration is found unenforceable), the parties consent to the exclusive jurisdiction and venue of the state and federal courts in Polk County, Iowa.

Limitation Period: any claim must be filed within one (1) year after it first accrued or it is permanently barred, except where a different period is required by law.

[Attorney decision point] Jury Trial Waiver: to the extent permitted by law and if arbitration doesn't apply, both parties would waive the right to a jury trial — to be finalized alongside the arbitration decision.
